By accessing or using Halosign ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Halosign provides an electronic signature platform that enables users to:
- Upload documents for electronic signature
- Send documents to multiple parties for signature
- Sign documents electronically
- Track document status and maintain audit trails
- Store and manage signed documents
- Integrate with third-party applications via API
3. User Accounts and Registration
To use certain features, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.
4. Electronic Signatures Legal Compliance
Halosign's electronic signatures are designed to comply with:
- The U.S. Electronic Signatures in Global and National Commerce Act (ESIGN)
- The Uniform Electronic Transactions Act (UETA)
- The European Union's eIDAS Regulation
- Other applicable electronic signature laws worldwide
However, you acknowledge that certain documents may require wet ink signatures or notarization under applicable law. You are responsible for determining the legal requirements applicable to your specific use case.
5. Subscription and Billing
Certain features require a paid subscription. By subscribing, you agree that:
- Subscription fees are billed in advance on a monthly or annual basis
- Your subscription will automatically renew unless cancelled
- You authorize us to charge your payment method for recurring fees
- Prices may change with 30 days' notice
- Refunds are provided in accordance with our refund policy
6. Intellectual Property Rights
The Service and its original content, features, and functionality are owned by Halosign and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain all rights to your documents and content. By using the Service, you grant us a limited license to process, store, and transmit your content solely to provide the Service.
7. Prohibited Activities
You agree not to:
- Use the Service for any illegal purpose or to violate any laws
- Forge signatures or impersonate others
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service or servers
- Scrape, crawl, or harvest data without permission
- Use the Service to send spam or unsolicited communications
- Reverse engineer or decompile any part of the Service
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALOSIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to defend, indemnify, and hold harmless Halosign, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may export your data prior to termination in accordance with our data export procedures.
11. Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in San Francisco, California. You waive any right to participate in a class action lawsuit or class-wide arbitration.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
